1. Agreement to Terms
By accessing or using Takara's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing our services.
2. Description of Service
Takara provides a compliance management platform designed for Managed Service Providers (MSPs) to help their clients achieve and maintain compliance with various regulatory frameworks including SOC 2, ISO 27001, HIPAA, GDPR, and others.
3. Account Registration
To use our services, you must:
- Provide accurate and complete registration information
- Maintain the security of your account credentials
- Promptly update any changes to your information
- Accept responsibility for all activities under your account
You must be at least 18 years old and have the authority to enter into this agreement on behalf of your organization.
4. Acceptable Use
You agree not to:
- Use the service for any unlawful purpose
- Attempt to gain unauthorized access to any systems
- Interfere with or disrupt the service or servers
- Upload malicious code or harmful content
- Violate any applicable laws or regulations
- Infringe on intellectual property rights of others
- Share account credentials with unauthorized parties
- Use the service to store or transmit sensitive data in violation of applicable laws
5. Data and Content
5.1 Your Data
You retain all rights to the data you upload to Takara. By using our service, you grant us a limited license to use, store, and process your data solely to provide the services.
5.2 Our Content
All content provided by Takara, including templates, frameworks, and documentation, is protected by intellectual property laws and remains our property.
6. Subscription and Billing
- Subscription fees are billed in advance on a monthly or annual basis
- All fees are non-refundable except as required by law
- We may change pricing with 30 days notice
- Failure to pay may result in service suspension
- You are responsible for all applicable taxes
7. Service Level Agreement
We commit to 99.9% uptime for our platform. Service credits may be available for qualifying downtime as outlined in our SLA documentation. Scheduled maintenance windows are excluded from uptime calculations.
8. Disclaimer of Warranties
Takara is provided "as is" without warranties of any kind, either express or implied. We do not guarantee that the service will be uninterrupted, secure, or error-free. Our platform assists with compliance efforts but does not guarantee certification or audit success.
9. Limitation of Liability
To the maximum extent permitted by law, Takara shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly. Our total liability shall not exceed the amount you paid us in the twelve months preceding the claim.
10. Indemnification
You agree to indemnify and hold harmless Takara, its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these terms.
11. Termination
Either party may terminate this agreement at any time. Upon termination:
- Your access to the service will be suspended
- You may request export of your data within 30 days
- We may delete your data after the retention period
- Outstanding fees remain payable
12. Changes to Terms
We reserve the right to modify these terms at any time. We will notify you of material changes via email or through the service. Continued use after changes constitutes acceptance of the new terms.
13. Governing Law
These terms shall be governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of San Francisco County, California.
